What “freehold” usually refers to
In Bali property marketing, freehold often refers to a strong form of Indonesian land ownership. The legal eligibility rules for land rights matter, so foreign buyers should not treat the English marketing term as confirmation that the same right can simply be registered in their personal name. The title and proposed holder must be reviewed together.
Be cautious if a transaction is presented as a workaround that relies mainly on trust or side agreements. A structure should be assessed for legality, enforceability, control, succession, tax, financing, regulatory and exit implications, not only for how quickly it can be signed.
What a leasehold gives you
A leasehold is fundamentally contractual. The value of the right depends heavily on the lease terms, the lessor's authority, the underlying land status, the remaining term, extension language, permitted use, assignment rights, payment structure and default provisions. Two leases described as “30 years” can create very different practical rights.
Review whether extensions are guaranteed, optional, market-priced or dependent on future agreement. Also check what happens to buildings or improvements at the end of the term, whether subleasing is allowed, and whether the lease can be transferred if you later sell your interest.
Why foreigners need to review the structure first
The best property structure depends on what you are trying to do. A personal residence, a long-stay villa, a hospitality business and a corporate investment may require different analysis. If a company is proposed as part of the structure, the company's actual activities, ownership, licensing and compliance obligations should be considered alongside the property documents.
Do not choose a structure simply because it appears to offer the longest term or the strongest marketing label. The rights should fit your intended use and remain workable if you later need to exit, renew, finance, inherit or transfer them.
Documents and questions for a lease review
For a lease, ask to see the underlying land information, the lessor's identity and authority, the draft lease, any prior lease or encumbrance that could affect the property, and documents relevant to the intended use. If a company owns or leases the property, review the company documents and authority of the person signing.
Key contract questions include the start and end date, extension formula, payment schedule, taxes and expenses, repairs, alterations, insurance, subleasing, assignment, early termination, default, dispute resolution and what happens to improvements. Material promises should appear in the written agreement.
Notary and PPAT involvement
Some lease arrangements may be documented through a notarial deed, while land transfers or other qualifying land-deed matters can involve a PPAT. The correct professional role depends on the transaction. If PPAT work is required, territorial authority also matters.
Dr. I Ketut Sugiartha's published PPAT appointment covers Kabupaten Badung. For properties in Canggu, Kerobokan, Seminyak, Kuta, Jimbaran, Nusa Dua or Uluwatu, the team can confirm whether the location and proposed deed fall within that scope. Property outside Badung may require the competent territorial PPAT.
FREQUENTLY ASKED QUESTIONS
Questions clients often ask
Is leasehold property in Bali safe for foreigners?
A lease can be a legitimate structure, but its quality depends on the underlying land, the lessor's authority and the contract terms. Review the documents and risks before committing.
Can a foreigner buy freehold land in Bali?
Foreign eligibility for Indonesian land rights is restricted and depends on the applicable right and legal structure. Do not rely on the word “freehold” in a listing; obtain advice on the specific title and proposed holder.
What should a Bali lease say about extensions?
It should make the extension mechanism clear, including timing, price or valuation method, conditions and whether extension is a right or only subject to future agreement.
Do lease agreements need a notary?
The appropriate form depends on the transaction and parties. A notarial deed may be used in some arrangements, while other documents can be private agreements. Ask which form is suitable for your case.
